Terms of Service

Effective date: August 1, 2026

The short version

  • Makerside gives you an AI team that helps you start and run your business. You stay in charge: consequential actions wait for your approval.
  • Your data stays yours. You can disconnect accounts and leave at any time.
  • Your customers pay you directly through Stripe. Makerside never holds your money.
  • Makerside takes a platform fee on sales made through channels it set up or manages for you. You see the rate before you agree, and it is never charged on past sales.
  • AI can be wrong. Makerside does not give legal, tax or financial advice.

1. These terms

These terms are an agreement between you and Saudaa Labs Pvt Ltd, 706, Bhaveshwar Arcade, LBS Marg, Mumbai, Maharashtra, 400086, India ("Makerside", "we", "us"). By creating an account or using Makerside, you agree to them. If you use Makerside for a business, you agree on behalf of that business and confirm you are allowed to.

Our Privacy Policy explains how we handle personal data and is part of these terms.

2. What Makerside does

Makerside is an AI office for founders starting and running product (D2C) and service businesses. Your AI team is organised into departments such as research, product, finance, growth and front desk. It researches, plans, drafts and, with your approval, acts through the accounts you connect.

Makerside is a tool, not a professional adviser. It does not give legal, tax, accounting, financial or medical advice, and it does not file taxes, licences or permits for you. AI output can be incomplete or wrong: check it before you rely on it.

3. Your account

  • You must be at least 18 and able to enter a binding contract.
  • Give accurate information and keep it up to date.
  • Keep your sign-in secure. Tell us at saif@getsauda.com if you think someone else has used your account.
  • You can invite people to your brand. You are responsible for what they do there, within the role you give them.

4. Your AI team and approvals

  • Consequential actions, such as spending money, posting, sending messages, publishing, changing prices, submitting forms online or starting payments, are shown to you as proposals. They happen only after you approve them.
  • Some features act on your behalf once you turn them on, within the settings you choose. For example, once you offer online sessions, a customer's booking at your published price is taken, and its meeting link created, without asking you each time.
  • You are responsible for the actions you approve and the features you turn on. Read a proposal before you approve it.
  • Your team never sees your passwords or payment details. When a website needs them, you type them in yourself.

5. Connected accounts

  • You may connect only accounts you are allowed to use, and you authorise us to access them as described in the permission screen and our Privacy Policy.
  • Connections are read-only unless you approve an action. You can disconnect any account at any time, in your office or in the provider's own settings.
  • You remain responsible for following each service's own terms and policies, including marketplace rules such as Amazon's and TikTok Shop's.

6. Your content and data

  • You own your content and data, and what your AI team makes for you, to the extent the law allows.
  • You give us permission to host, copy, process and display it only as needed to provide and secure Makerside for you.
  • For your customers' personal data, you are the controller and we process it for you, on your instructions, as the Privacy Policy describes. You are responsible for having the right to collect it, for any consents you need, and for your own privacy notice to your customers.
  • We do not use your data or your customers' data to train general-purpose AI models.

7. Payments and the Makerside fee

How your customers pay you

  • Your customers pay you directly, through a Stripe account connected to Makerside (Stripe Connect). To take payments, you set up that account on Stripe's own pages and accept Stripe's terms.
  • Money from your customers settles in your Stripe account. Makerside never holds your funds, never moves money for you, and never issues refunds. Refunds, disputes and payouts are handled in your Stripe dashboard.
  • You are responsible for your own taxes. Makerside does not file taxes for you.

What the fee applies to

Makerside takes a platform fee on sales made through us:

  • Payments through Stripe Connect that Makerside creates on your account, such as booking checkouts and payment links. Stripe deducts the fee when the payment is made.
  • Sales on channels Makerside set up or manages for you. Today, that is your Shopify store connected through Makerside and the sales channels that sync through it, such as your online store, Amazon and TikTok Shop. This includes future sales on a channel you already had, once you connect it through Makerside.

The fee applies only to sales placed after the channel was connected (and, if you disconnect it, before it was disconnected), and after you accepted the fee. It is never charged on past sales.

The rate

  • The rate is shown to you before you agree to it, when you set up payments or billing. It can differ for Stripe payments, store sales and marketplace sales.
  • You are never charged more than the rate you last accepted. A higher rate needs your new agreement; a lower rate applies straight away.
  • The fee is calculated on what the customer paid, not counting tax.

Refunds and reversals

If a sale is refunded, cancelled or lost in a dispute, the fee on it is reversed in proportion: a fully refunded sale carries no fee. If the fee was already collected through Stripe, the reversal is credited on your next monthly statement.

Monthly statement

  • Fees on sales that did not go through Stripe Connect are billed monthly. Each calendar month (in UTC) you get one statement per currency, listing every sale, fee and reversal.
  • The statement is invoiced through Stripe and charged to the payment method you saved on Stripe's page. If no payment method is saved, the statement waits and we ask you to add one.
  • A sale recorded after a month closes appears on the next statement. No sale is billed twice.
  • You can see the rates, this month's running total and every past statement in your console. If you think a fee is wrong, tell us at saif@getsauda.com and we will look into it.

8. Plans and usage limits

Makerside is currently offered on a trial that includes every department. If we introduce paid plans, we will tell you the price before anything is charged, and you choose whether to continue. Some features have usage limits, such as monthly budgets for AI, research and browser time, to keep costs predictable.

9. Acceptable use

Do not use Makerside to:

  • break the law, or sell anything illegal or unsafe;
  • send spam or messages to people who have not agreed to receive them;
  • infringe anyone's intellectual property or privacy;
  • mislead or defraud anyone, including your customers;
  • try to access another brand's data, get around our security or approvals, or disrupt the service;
  • copy, scrape or reverse-engineer Makerside, or use it to build a competing product;
  • break the terms of a connected service or marketplace.

10. Messages you send

Emails and WhatsApp messages sent for your business are sent in your business's name. You are responsible for their content and for following the rules that apply to them, including consent, unsubscribe and anti-spam laws and WhatsApp's policies. Marketing email goes only to people who confirmed their subscription.

11. Third-party services

Makerside works with services we do not control, such as Stripe, Shopify, Google, Meta, Zoom, marketplaces, and AI assistants you connect to Makerside. Their terms apply to your use of them. We are not responsible for them, for changes they make, or for their outages.

12. Our intellectual property

Makerside, its software and its design belong to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use Makerside under these terms. If you send us feedback, we may use it without owing you anything.

13. Changes and availability

Makerside is changing quickly. We may add, change or remove features. Some features are marked as coming soon or in preview and may not work as expected. We try to keep Makerside available but cannot promise it will always be.

14. Suspension and ending

  • You can stop using Makerside and ask us to close your account at any time.
  • We may suspend or close an account that breaks these terms, puts others at risk, or where the law requires it. Where we can, we will tell you first and give you a chance to fix it.
  • Before your account closes, you can ask us for an export of your data. After it closes, we delete your data as the Privacy Policy describes.
  • Fees for sales made before the account closed remain payable.

15. Disclaimers

Makerside is provided "as is" and "as available". To the extent the law allows, we make no promises that it will be error-free or uninterrupted, or that its research, forecasts or suggestions will be accurate or will produce any business result. Nothing in these terms limits rights you have under consumer law that cannot be limited.

16. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or revenue, or lost data, and our total liability for any claim is limited to the fees you paid Makerside in the 12 months before the event that caused the claim. This does not limit liability that cannot be limited by law, such as for fraud.

17. Indemnity

You agree to cover our reasonable costs from claims by others that arise from your business, your content, the actions you approve, or your breach of these terms.

18. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have jurisdiction over any dispute, unless the law where you live says otherwise. Before starting a formal dispute, please contact us at saif@getsauda.com so we can try to resolve it.

19. Changes to these terms

We will post any change here and update the effective date. If a change is significant, we will tell you in the app or by email before it takes effect. A change to your fee rate always needs your agreement.
